This certificate is issued by Noiseless Capital LLC, a Wyoming limited liability company and the publisher of the QuietPage™ range of children’s coloring & activity books (the “Licensor”), with its registered office at 30 N Gould St, Ste R, Sheridan, WY 82801, USA. It confirms the rights granted to the organization named below (the “Licensee”) in the QuietPage materials listed below (the “Licensed Materials”). This license is granted automatically upon purchase and is valid without a signature from the Licensee.

The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual license to use the Licensed Materials within a single organization operating at one physical location, subject to the terms below. This license grants permission to use the Licensed Materials only; it does not transfer ownership of the materials or of any intellectual property rights in them.
Within the licensed location, the Licensee may:
The Licensee shall not: (a) resell, sublicense, share, transmit or otherwise distribute the digital files; (b) post or upload the files to any public website, shared drive or file-sharing service; (c) sell printed copies as a standalone product for profit; (d) modify, adapt or repackage the materials, or use them to create competing products; (e) remove or obscure any QuietPage branding or claim authorship; or (f) extend use beyond the single licensed location.
The Licensor retains all right, title, interest and copyright in and to the Licensed Materials. All rights not expressly granted to the Licensee are reserved by the Licensor.
This license covers one organization at one physical site. Additional campuses, branches, franchises or district-wide deployments each require a separate license. Volume and district pricing is available from the Licensor on request.
This license takes effect on the Issue Date and continues perpetually unless terminated. The Licensor may terminate this license upon a material breach of its terms. Upon termination, the Licensee shall cease all use of the Licensed Materials and destroy all digital copies in its possession.
Corrected or updated files released by the Licensor for the purchased titles are provided to the Licensee at no additional cost, upon presentation of a valid receipt.
The Licensed Materials are provided “as is,” without warranties of any kind. To the maximum extent permitted by law, the Licensor’s total liability in connection with this license shall not exceed the License Fee paid. The Licensee is responsible for the supervision of children using printed materials, crayons and markers.
The Licensed Materials are intended for children ages 3–7 for supervised, screen-free creative use. Artwork is produced with the assistance of AI image tools and reviewed for quality prior to release.
The License Fee is payable in full at the time of purchase. Because the Licensed Materials are delivered as digital files, all sales are final and the License Fee is non-refundable, except where a refund is required by applicable law.
This certificate sets out the entire license granted in the Licensed Materials and supersedes any prior representations. The license is non-transferable without the Licensor’s prior written consent and is governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. If any provision is held unenforceable, the remaining provisions remain in full effect.
